Brand Ambassador Terms & Conditions

These Terms govern participation in the Minority Retail Brand Ambassador Program, including remote and in-person assignments, modeling, influencing, content creation, events, compensation, media usage, confidentiality, professional conduct, and program participation.

Minority Retail Brand Ambassador Agreement

By applying to the Minority Retail Brand Ambassador Program, accepting an assignment, appearing at a production or event, receiving campaign products, creating approved campaign content, or signing the profile below, you agree to these Terms. Program acceptance does not guarantee assignments, compensation, hours, commissions, products, or earnings.

Important Ambassador Notice

These Terms form a program participation agreement between Minority Retail LLC and each approved Brand Ambassador. Assignment-specific written terms may add to or modify these general Terms for a particular campaign. Review the full agreement before completing the profile.

01Program Relationship

The Minority Retail Brand Ambassador Program connects approved individuals with promotional, retail, content, event, modeling, hosting, product-demonstration, social media, community outreach, and campaign opportunities supporting Minority Retail and participating brands.

Ambassador status is non-exclusive unless a specific written campaign agreement states otherwise. Minority Retail may offer opportunities based on campaign needs, geography, audience, experience, availability, brand fit, professionalism, and other legitimate business considerations.

02Eligibility, Profile & Selection

  • Applicants must be at least 18 years old unless Minority Retail establishes a separate, legally compliant minor-talent process with parent/guardian consent.
  • Profile information must be accurate, current, and complete.
  • Minority Retail may request identification, tax documentation, portfolio materials, references, social analytics, availability confirmation, or other information reasonably required for a specific assignment.
  • Minority Retail may approve, decline, place on hold, or remove an applicant from the program at its discretion, subject to applicable law.
  • Program acceptance alone does not guarantee a minimum number of assignments, hours, products, commissions, fees, or earnings.

03Ambassador Responsibilities

Ambassadors are expected to represent Minority Retail and participating brands professionally, accurately, and respectfully. You agree to:

  • Follow written campaign briefs, talking points, schedules, dress requirements, safety rules, and production instructions.
  • Arrive or log in on time and be prepared for the assignment.
  • Use only approved claims, offers, links, discount codes, product descriptions, logos, images, and campaign language.
  • Communicate promptly if you cannot complete an assignment as agreed.
  • Protect customer, brand, campaign, and Minority Retail information received through the program.
  • Avoid conduct that reasonably creates confusion about whether you are speaking personally or on behalf of Minority Retail.

04Assignments, Work Location & Availability

Opportunities may be remote, in person, or hybrid. They may include studio productions, product showcases, social content, live streams, trade shows, pop-ups, retail activations, street teams, community events, photo/video shoots, interviews, product demonstrations, or other promotional work.

Each paid or commissioned assignment should be confirmed through a written campaign brief, booking notice, email, or other written communication specifying the scope, date/time, location or remote platform, deliverables, compensation method, deadlines, usage expectations, and any special requirements. Where an assignment-specific document conflicts with these general Terms, the assignment-specific written terms control for that assignment.

05Compensation, Commissions, Products & Expenses

Compensation is assignment-specific and is not created solely by joining the program. Depending on the campaign, compensation may include a flat fee, hourly fee, per-event fee, content fee, commission, referral incentive, approved product, product credit, or another written arrangement.

  • No compensation amount is owed unless Minority Retail has confirmed it in writing for the applicable assignment.
  • Commission or referral payments, when offered, are based on Minority Retail’s applicable tracking records and the campaign’s written rules, including any return, cancellation, chargeback, attribution, or qualification period.
  • Ambassadors may not incur reimbursable expenses without prior written approval. Receipts may be required.
  • Unless otherwise stated in writing, Ambassadors are responsible for ordinary personal expenses, equipment, internet, wardrobe, transportation, parking, meals, and taxes associated with their participation.
  • Products provided for review, demonstration, loan, or content creation remain subject to the campaign instructions. Items identified as loans or display samples must be returned as directed.

06Content Creation & Social Media

When an assignment requires content, the Ambassador agrees to create original, truthful, brand-appropriate content that satisfies the campaign brief and applicable platform rules. Minority Retail may require drafts or pre-approval before posting.

  • Do not make false, misleading, medical, financial, performance, comparative, or other claims that are not authorized and substantiated.
  • Do not purchase fake followers, engagement, reviews, clicks, leads, or conversions in connection with Minority Retail campaigns.
  • Do not materially alter approved logos or brand assets without permission.
  • Do not remove required advertising disclosures.
  • Do not publish confidential campaign information before an approved launch date.
  • If corrections are required for legal, factual, disclosure, or brand-safety reasons, the Ambassador will reasonably cooperate in editing or removing affected content.

07Modeling, Appearance, Name, Voice & Likeness

For any assignment involving photography, video, audio, live streaming, modeling, hosting, interviews, or other recorded appearances, the Ambassador authorizes Minority Retail and, when identified in the assignment, the applicable participating brand to photograph, film, record, reproduce, edit, crop, caption, adapt, publish, display, distribute, advertise, and otherwise use the Ambassador’s approved performance, name, image, voice, likeness, and biographical information in connection with the assignment and Minority Retail’s promotion of the resulting campaign.

Unless the assignment-specific writing states a narrower term, this license is worldwide, royalty-free, and may be used across Minority Retail-owned or controlled websites, marketplace pages, digital catalogs, social platforms, email, presentations, advertisements, retail displays, event materials, press/publicity, and portfolio/reel materials. Minority Retail will not knowingly use the Ambassador’s likeness to falsely imply endorsement of an unrelated product or cause.

Measurements, clothing sizes, appearance details, and similar casting information collected in the profile details are used for casting, wardrobe, production planning, and assignment matching. Applicants should provide only information they are comfortable sharing. Minority Retail should limit access to personnel with a legitimate business need.

08Professional Conduct, Harassment & Brand Safety

Ambassadors must maintain professional conduct in person and online when acting for or identifying themselves with Minority Retail. Harassment, discrimination, threats, violence, intoxication during assignments, deliberate property damage, theft, unsafe conduct, falsified results, or serious misconduct may result in immediate removal from an assignment or the program.

Minority Retail will not require an Ambassador to participate in unlawful, unsafe, sexually explicit, discriminatory, or materially deceptive activity. Ambassadors should promptly report safety concerns or inappropriate conduct to Minority Retail.

09Confidentiality & Non-Public Information

Confidential Information includes non-public campaign plans, product launch information, pricing or offers not yet released, customer information, internal contacts, passwords, private links, unreleased creative assets, sales or performance data, business methods, and other information reasonably understood to be confidential. Ambassadors may use Confidential Information only to perform authorized assignments and may not disclose it without permission, except where required by law.

10Intellectual Property & Ambassador-Created Work

Minority Retail and participating brands retain ownership of their respective names, trademarks, logos, product images, copyrighted material, campaign assets, and other intellectual property. The Ambassador receives only the limited permission necessary to perform an approved assignment.

Unless an assignment-specific writing states that a deliverable is a work made for hire or transferred outright, the Ambassador retains ownership of original content the Ambassador creates, while granting Minority Retail a worldwide, royalty-free, transferable and sublicensable license to use, reproduce, edit, adapt, publish, distribute, display, advertise, and archive the approved deliverable for the campaign, Minority Retail promotion, case studies, and portfolio/reel use. Any paid-media usage period, exclusivity, whitelisting, raw-file delivery, or broader rights should be stated in the applicable campaign brief.

11Advertising Disclosures & Legal Compliance

Ambassadors must comply with applicable advertising and endorsement laws, including Federal Trade Commission endorsement requirements, platform policies, consumer-protection rules, and campaign-specific disclosure instructions. Material connections—such as payment, free product, commissions, discounts, travel, or other benefits—must be clearly and conspicuously disclosed when required.

The Ambassador is responsible for obeying laws applicable to their own conduct, including permits, licenses, and tax obligations that apply to independent promotional work.

12Products, Samples, Equipment & Property

Products, samples, signage, apparel, props, equipment, access credentials, or other property supplied for an assignment must be used only as authorized and handled with reasonable care. Items designated as returnable must be returned by the stated deadline and in substantially the same condition, ordinary authorized use excepted. The Ambassador may be responsible for loss or damage caused by intentional misconduct or gross negligence, subject to applicable law.

13Health, Safety, Travel & In-Person Locations

Ambassadors must follow reasonable venue, studio, production, travel, and safety instructions. The Ambassador should disclose assignment-related accessibility needs or restrictions early enough for reasonable planning; medical details should not be provided unless necessary for a requested accommodation or safety issue.

Travel, lodging, mileage, parking, rideshare, and similar expenses are reimbursable only when approved in writing in advance. The Ambassador is responsible for personal transportation unless Minority Retail expressly arranges it.

14Cancellation, Removal & Termination

Either party may end general program participation at any time by written notice. Minority Retail may immediately suspend or terminate an Ambassador for material breach, fraud, serious misconduct, harassment, unsafe behavior, misuse of confidential information, falsified metrics, unauthorized claims, repeated failure to perform accepted assignments, or conduct that creates a substantial and legitimate brand-safety risk.

Termination does not eliminate obligations that by their nature should survive, including confidentiality, intellectual-property rights already granted, payment obligations for properly completed work, return of property, and dispute provisions. Assignment-specific cancellation fees, kill fees, or nonrefundable costs apply only when confirmed in writing.

15Independent Contractor / No Employment Relationship

Unless Minority Retail separately hires the Ambassador as an employee in writing, participation is as an independent contractor for accepted paid assignments. Nothing in this Agreement creates an employer-employee relationship, partnership, joint venture, franchise, agency with authority to bind Minority Retail, or entitlement to employee benefits. The Ambassador controls whether to accept offered assignments, subject to the agreed deliverables, deadlines, production requirements, and lawful brand standards for assignments the Ambassador accepts.

The Ambassador is responsible for personal tax reporting and obligations applicable to independent-contractor income. Minority Retail may request legally required tax forms before payment.

16Responsibility, Release & Indemnification

Each party is responsible for its own acts and omissions. To the extent permitted by law, the Ambassador agrees to indemnify and hold Minority Retail harmless from third-party claims, losses, or reasonable expenses arising from the Ambassador’s material breach of this Agreement, unlawful conduct, infringement caused by materials independently supplied by the Ambassador, or intentional misconduct. Minority Retail remains responsible for its own negligence, misconduct, and obligations that cannot lawfully be disclaimed.

Except where prohibited by law or expressly stated in an assignment-specific agreement, Minority Retail does not guarantee future assignments, audience growth, sales, follower growth, commissions, media exposure, or other business outcomes.

17Disputes, Governing Law & Severability

The parties agree to first attempt in good faith to resolve disputes informally through written notice and reasonable discussion. Unless an assignment-specific agreement provides otherwise or applicable law requires a different rule, this Agreement is governed by the laws of the state in which Minority Retail LLC maintains its principal place of business, without regard to conflict-of-law principles. If any provision is found unenforceable, the remaining provisions remain in effect to the fullest extent permitted by law.

18Entire Agreement, Updates & Electronic Acceptance

These Terms, together with written campaign briefs, booking confirmations, approved compensation terms, releases, or assignment-specific addenda, form the agreement between Minority Retail and the Ambassador for program participation. Material changes to these Terms will apply prospectively after notice or re-acceptance when appropriate.

Electronic signatures, typed names, checkbox acceptance, and electronically submitted copies may be used to evidence agreement to the extent permitted by applicable law. The Ambassador should retain a copy of the completed packet for personal records.
